The Senior Paralegal reports directly to Assistant General Counsel and Assistant Corporate Secretary. The position will provide support to the Corporate Secretary and the Company’s securities, governance and compliance attorneys on various matters. The responsibilities will include providing assistance with the drafting, preparation and maintenance of materials for the Board of Directors meetings, interacting with directors, and assisting with drafting, preparing and, if applicable, filing resolutions, written consents, minutes, Section 16 filings and other SEC periodic reports and filings. The individual will have responsibility for filing and maintaining corporate organizational documents and minutes. The individual should have knowledge of NYSE American and NYSE listing requirements and SEC periodic reporting obligations. The position will also be responsible for assisting in the oversight of the database system that tracks and maintains executed contracts. In addition, this position may also provide day-to-day paralegal support to the other attorneys in the Legal department. The position must be able to work collaboratively and cooperatively with the attorneys and other Legal team members and be willing to be fully cross-trained with other paralegals as required. The position also must be willing to perform basic administrative functions.

KNOWLEDGE

  • Demonstrated strong knowledge of public company listing requirements
  • Demonstrated strong knowledge of public company organizational documents
  • Demonstrated strong knowledge of corporate entity formation, dissolution and organizational structures
  • Demonstrated understanding of the time commitment necessary to support transactional clients in a high-volume deal environment
  • Working knowledge of office management administration, principles, methods, and procedures
  • Demonstrated ability to utilize sorting/filing techniques and records retention policies and schedules to maintain accurate records

RESPONSIBILITIES AND ESSENTIAL DUTIES

  • Assists in the planning, coordination and execution of activities required for Board and Board-level committee meetings, including preparation of meeting notices, agenda preparation, preparing, and/or obtaining from management, materials required for meetings, assembling materials for meetings, ensuring timely delivery of materials to management and the Board, and assisting with logistics and ensuring proper set-up of meeting facilities
  • Files and maintains corporate organizational documents and minutes. Manages minute books, legal files and other corporate information, including officer appointments
  • Researches matters relating to SEC and exchange listing requirements and obligations and corporate governance and securities matters.
  • Researches the status of corporations and coordinates, reviews and assists in the formation and dissolution of domestic and foreign entities, including filings with the appropriate jurisdictional offices
  • Monitors written consents and documents circulated for signature
  • Fulfills requests for corporate information, including copies of minutes, consents and other corporate documents
  • Prepare required paperwork and register individuals identified as Section 16 filers with the SEC (distribution of Section 16 Compliance Memo; obtaining Power of Attorney; Obtaining Compliance Certifications; Securing and maintaining SEC Access Codes)
  • Work as a liaison with the transfer agent as it relates to the Company’s stock plans and dividend activity
  • Assists in the oversight of the database system that tracks and maintains executed contracts.
  • Assists the attorneys with various corporate transactions
  • Builds positive relationships within Executive management, outside directors, and administrative staff as necessary to perform duties and to achieve results.
  • Produces information by transcribing, proofreading, formatting, inputting, editing, retrieving, copying, and transmitting text, data, and graphics.
  • Maintains a flexible and adaptive schedule (e.g. start early or stay late if required to complete work).
  • Ensures written materials prepared and reviewed are complete, concise, and error-free.
  • Ensures that legal files and records are maintained in accordance with department requirements and company policies and procedures.
  • The duties and responsibilities described are not a comprehensive list and additional tasks may be assigned to the employee from time to time; or the scope of the job may change as necessitated by business demands.

QUALIFICATIONS (EDUCATION, EXPERIENCE AND SKILLS)

  • Education and Certifications : High School Diploma or equivalent required; Associates or bachelor’s degree preferred. Paralegal Certification required. An equivalent combination of education and experience may be accepted.
  • Experience: Ten (10) years of applicable experience in corporate, securities and finance practice areas at or working on behalf of U.S. public companies is required; Energy Industry and MLP experience strongly preferred. Must have extensive experience and acumen to plan and accomplish goals.
  • Skills :
    • Ability to work independently with little supervision
    • Excellent communication skills, both written and verbal with the ability to work with all levels of management and employees
    • Strong and effective organizational skills, attention to detail and ability to handle multiple tasks with a wide degree of creativity and latitude
    • Effective time management skills with the ability to meet deadlines
    • Proficiency working with Diligent Software and DocuSign Software desired
    • Proficiency filing Section 16 filings with the SEC
    • Proficiency in MS Office Software and the ability to learn and acquire expertise in new software and applications
    • Ability to work under pressure and to maintain efficiency and composure
    • Commitment to participatory management and a strong service orientation
    • Strong interpersonal skills with an ability to establish and maintain cooperative and harmonious working relationships with a variety of other support and departments
    • Ability to handle issues with a high degree of confidentiality and accuracy

WORK CONDITIONS

  • Job is performed in a typical office environment, but is subject to time pressures and constraints, and is often dependent on input from others.
  • Occasionally, work may be performed from home, after normal work hours or on weekends.
  • May be required to work overtime.
  • Subject to drug and alcohol testing, per applicable federal regulations or as required by Cheniere.
