To be successful in this role you will:

  • Draft, review and negotiate a variety of transactional and commercial agreements (including, but not limited to natural gas supply and transport related agreements (including asset management agreements), acquisition and disposition agreements, electric service contracts, infrastructure agreements, renewables projects related agreements, power purchase agreements, build transfer agreements engineering, procurement and construction contracts, confidentiality agreements, energy efficiency agreements)
  • Understand, analyze and communicate risk associated with transactional and commercial agreements
  • Understand and navigate regulatory issues related to such transactions
  • Influence and provide timely and effective legal and business advice and support at all organizational levels on complex transactions
  • Perform and review due diligence
  • Support as needed matters relating public and private financing, including project finance, credit agreements, strategic transactions and mergers and acquisitions
  • Participate in and lead legal department initiatives
  • Interact with, and establish the respect and confidence of, senior business leaders and members of business functions
  • Demonstrate strong leadership ability and conflict resolution skills
  • Keep the company updated and advised on general legal issues and best practices
  • Develop standardized forms and procedures for assigned area
  • Participate in the definition and development of policies, procedures and programs, and provide continuing counsel and guidance on implications of all legal matters
  • Learn company policies, procedures and safety rules
  • Oversee and manage outside counsel and staff, as required
  • Manage a high volume of matters at any given time, work well under pressure, successfully handle and prioritize multiple competing assignments, and effectively manage deadlines
  • Manage projects independently
  • Demonstrate ability as a business-oriented problem solver and a flexible team player, with ability to partner across departments in order to provide legal support that will enable teams to do business effectively
  • Analyze complex matters and propose creative and practical solutions
  • Demonstrate professionalism, judgment, personal integrity, and confidentiality
  • Demonstrate a commitment to pro bono and community activities strongly preferred
  • Participate in mandatory emergency operations plan procedures

Your background includes:

  • An undergraduate degree from an accredited college or university and a J.D. (doctor of jurisprudence) degree from an accredited law school
  • At least 7 years or of experience at a large law firm and/or as in-house counsel.
  • Must be eligible to practice in at least one state in the United States, preferably Texas

A bonus to have:

  • Prior experience with utility transactions preferred, but not required
